He filed a Form 10 to become an SEC registrant which would also make him pink current. Without the two years audited financials he will not become an SEC registrant…and will have to withdraw the Form 10 or risk suspension.

Now he can turn around and upload the financial disclosures (without audit) to OTCIQ to become pink current without the risk of SEC action.

Not sure why he didn’t just go that route to begin with…but whatever.

Filing a Form 10 without the audit just to become pink current is a very risky route to go…as the SEC is not going to look favorably.

…but then Mark isn’t very bright.
