Just to clarify some questions I had and received answers to....what constitutes a quorum. Based on UK laws along with their charter, the quorum is the number of shares present to hold the meeting. That number is at least 1/3 of the outstanding shares. The filings state that there is currently 405 mill outstanding so that would equal approx 135 million to constitute a quorum. If obtained then each proposal would need a majority of votes cast to be approved.
If no quorum is reached then no meeting will be held. The meeting adjourns to a later date to solicit additional proxies to establish a quorum meeting the Nasdaq threshold.
