Abstentions count in any kind of vote, unless there's some special rule in place that a certain % of shareholders must vote one way or the other for there to be a valid election - broker non-votes are listed as abstentions for retailers who didn't bother to vote. Another stock I own may be going through something in the near future where that situation applies - too complicated to explain in a short post, but there are certain conditions the apply to a proposed spinoff company that might want to sell itself to a single buyer - in one case you just need a majority vote, in another case you need 66.7% of votes for it to pass - IIRC the 2nd case is where abstentions come into play.
