The bulk of the suit by Constantine Zanfardino is not about potentially misleading statements made by Mark Kay. Their primary cause of action is breach of fiduciary duty including several instances of insider dealing. I uploaded a copy of the complaint a while back and provided a link on the board. You may want to give it a read.

As to why someone would want to drive the company into bankruptcy, I'm just spitballing here, but my guess is that Mr. Zanfardino has already mentally and emotionally written off his investment in SFOR/ZRFY. The company continues to exist only to provide a very nice income and benefit package to the three amigos. With voting control 100% in the hands of the amigos, nothing is going to change the way that the company does business....because why should they?

Perhaps Mr. Z wants that gravy train to come to a halt and the best way he sees to have that come about is to drive the company under.
