Now IF this is all done on the private side as far as the subs, THE NEWCO has the option of using the cash to build an even larger FINANCIAL FOOTPRINT on its bottom line or do what IMHO THE BIG BOYZ would want to do and that would be to pay divies so anything that comes to them come to them at a LESSOR TAXABLE RATE.
They may very well use the profits for a few years and then down the line pay divies.
Now if what I suspect happens here and that being that the Prfrds P K TPS are to be issued prefrds in the newco, they will automatically be getting divies for those prefrd and would have NO PROBLEM what so ever in having the company use the EXCESS profits to go into the corp to buy or create even more company's while creating even more cash flow... This is where they could really get creative and just keep raising the divie rate on their prefrds.
I will also suggest that even though one WOULD OWN their prefrds and receive the divies these prefrds WOULD NOT BE TRADE ABLE outside of the corp entity, you would have the right to sell them with company permission to another SHARE HOLDER who held at the time or sell them back to the company, BUT NEVER OUTSIDE THE CORP SHELL and probably would have a clause similar to our escrows that they could only be transferable via a death or a will........All speculation of course or a WAG
