The distinction between the JNJ and 3M cases is that JNJ created a subsidiary out of thin air to hold the parent company's talc liabilities, while 3M's Aearo subsidiary (now in bankruptcy) has existed since 3M acquired the company back in 2007 (https://news.3m.com/2007-11-15-3M-to-Acquire-Aearo-Technologies-Inc-,-Global-Leader-in-Personal-Protection-Equipment ).

Whether this distinction will ultimately matter to the courts is unclear, but 3M's use of the bankruptcy court strikes me as less deceitful than JNJ's.
