Probably why he originally thought a RS was a good plan. But this would have tanked so hard (and did) had he gone through with it and would have been in the same place. But it’s on him to execute on things and he was late (per last year some milestones). So this is the hand he is given. He could have tried to renegotiate but maybe didn’t have time to nor did they possibly want to.

Who knows. This is what we get with lack of updates. Of course it could all be in the larger plan but I’m sure he’ll be tempted to RS again if those OS shares get too high. All guessing
