A plan: 1) Place all BOD candidates names on a proxy ballot, and remove all fixed dollar amounts from their pay. Make their remuneration payable only in RSUs with a vesting value of $5-10 in 1-2 years. Some candidates might voluntarily withdraw their names. The ballot would include a provision for increasing the number of BOD members, if necessary, to total number of candidates.
2) Give each BOD candidate authority to negotiate with third party companies for a Tender Offer or licensing rights in the United States, Europe, or elsewhere ROW. The licensing rights would include an option to buy at x$/share.
