To inform the board. I sent MZ Group an e-mail asking if an 8K would need to be issued and they said no, that the amount LWLG paid was not considered a material enough amount to warrant the issue of an 8K. I also asked if the shelf was used and the response was that an SEC filing would of been required if the shelf was used.

So, based on that, I would say that we did not pay what they consider a "material" amount for the patents and polymer technology and that the shelf was not used.
