I have uncovered more info on this SPECIAL DIVI.

KROGER is paying $34.10 to buy out ACI, the SPECIAL DIVI will drop the purchase price by the $6.85.

ACI will create a spinoff co called SPINCO which the share holders of ACI will receive shares of.

This appears to be a WIN WIN WIN: SPECIAL DIVI, CASH AND SHARES IN A SPINOFF CO CALLED SPINCO
