The issue is whether restricted shares should be included in the market cap calc. If you remove restricted shares you get the lower number as reflected on Morningstar and many others. You can argue either way, but if there is large amount of restricted shares as a percentage of the outstanding, the market cap can be distorted greatly to the upside.
