SHMN can't do a r/s, or raise the AS to " sell " shares on the open market to pay for an acquisition

As a practical matter, this is almost certainly correct. Per NRS 78.2055 and NRS 78.207, the company would need a majority of shareholders to approve any change in authorized our outstanding which would adversely impact their interests.

Put another way, the company's management cannot unilaterally take an action which would facilitate the massive dilution that is being suggested by some of these posts.
