They would tie it up by stating the company is in imminent danger of default like they did years ago. The same time they gave themselves tons of shares.

You have a choice. Let the company default or vote the authorization. It is the last corner you say they will paint you into but they manage to do it again. These people are beyond incompetent at managing their share price.
