(4) Georgia Notes States Valid Claims for Personal Liability against Soloviev.
Soloviev is jointly and severally responsible for the misrepresentation claim and the
claims related to the Second Loan and Security Agreement for the reasons explained below.
Soloviev’s argument that Georgia Notes has sought to hold him liable solely based upon
his status as Celebrity’s officer and directors lacks any merit. Motion, ¶¶ 13-14. Soloviev is
liable for intentional misrepresentation, because one who “personally participates” in an
intentional tort such as fraud is personally liable, even though he may have been acting in the
scope of his employment.
