. Delaware law requires every corporation to hold an annual shareholders meeting at least once every 13 months. Generally, the date of the annual meeting is contained in the bylaws of the corporation. A meeting must be held, regardless of the number of shareholders in the corporation.

A. NWBO HQ is in Delaware so this Delaware law is applicable to NWBO
B. The last held ASM was held on May 18, 2021

Therefore the 2022 ASM should be held on June 18, 2022, at the latest

C. The invitation proxy to shareholders for the ASM 2022 should be sent 1 month in advance at a minimum so that legal deadline is the 17th of May and thus they are too late
