Point of Clarification:

Passalaqua still owns his 3,872,550 NDTP restricted shares.

The list of the 5% or more insiders/officers had to include the sole officer, Passalaqua, but could not show him as a 5% beneficial owner because he does not own 5% + of the outstanding shares. So it had to show him as 0% on this list. But he retains his shares.

Using the tabular format below, please provide information, as of the period end date of this report, regarding any person or entity owning 5% of more of any class of the issuer’s securities, as well as any officer, and any director of the company, or any person that performs a similar function, regardless of the number of shares they own. If any insiders listed are corporate shareholders or entities, provide the name and address of the person(s) beneficially owning or controlling such corporate shareholders, or the name and contact information (City, State) of an individual representing the corporation or entity in the note section.

So Passalaqua filled this out correctly. He had to list himself because he is the sole officer, but because he does not own 5% + of the outstanding, he listed himself as 0% ownership.

Until we hear differently Passalaqua is running the NDTP show.
