You cannot just check mark a box that it is no longer a shell without meeting the requirements that cure the shell status. The SEC clearly defines what is a shell corporation, all you have to do is look at the last 10K and know that this is a shell corporation by SEC definition:

The term shell company means a registrant, other than an asset-backed issuer as defined in Item 1101(b) of Regulation AB (§ 229.1101(b) of this chapter), that has:

(1) No or nominal operations; and

(2) Either:

(i) No or nominal assets;

(ii) Assets consisting solely of cash and cash equivalents; or

(iii) Assets consisting of any amount of cash and cash equivalents and nominal other assets.



The balance sheet tells the story, there are no assets and no cash reported on it, there is zero operations occurring based upon the financials of the company as they have only recorded debt.

I mean really this is about as transparent of a scam you can get, you can clearly see that when this was MZKR it was properly reported as a shell corporation, the RM did not change the financials yet some dumbass check marked it was no longer a shell when INSD took over, to allow sale of stock. This thing is going down and the lawsuit filed in December has plenty of merit with the documents residing in EDGAR, aint no going back to hide the evidence....lol
