In the morning I looked all over and found nothing, I kinda feel someone sold their lock-up shares to a short seller.
They shorted the stock, and got the lock-up shares now, that will eventually cover the short position down the road. A deal worked out between the two parties.
If we or our existing stockholders, directors and officers sell, or indicate an intent to sell, substantial amounts of our common stock or securities convertible into our common stock in the public market after February 17, 2023 in the case of the Company and after August 16, 2022 in the case of directors, officers and stockholders, contractual lock-up and other legal restrictions on resale in connection with our initial public offering lapse, the trading price of our common stock could decline significantly. Based on 11,048,587 shares of common stock outstanding as of March 15, 2022, 2,222,222 shares of common stock are freely tradable, without restriction, in the public market. If our existing stockholders sell substantial amounts of our common stock in the public market, or if the public perceives that such sales could occur, this could have an adverse impact on the market price of our common stock, even if there is no relationship between such sales and the performance of our business. We also intend to register all shares of common stock that we may issue under our equity compensation plan. Once we register these shares, they can be freely sold in the public market upon issuance, subject to volume limitations applicable to affiliates and the lock-up agreements.
After the lock-up agreements pertaining to our initial public offering expire, an additional 8,826,365 shares will be eligible for sale in the public market. In addition, upon issuance, the 780,640 shares subject to outstanding options under our stock option plan and the shares reserved for future issuance under our stock option plan will become eligible for sale in the public market in the future, subject to certain legal and contractual limitations. If our existing stockholders sell substantial amounts of our common stock in the public market, or if the public perceives that such sales could occur, this could have an adverse impact on the market price of our common stock, even if there is no relationship between such sales and the performance of our business.
