The 1-A breaks it all down. This is the most elite stuff I have ever heard of in my life. Here's what's going to happen:

PHIL is accepting offers for "subscriptions" for Offered Shares. If you're interested, you go to the website, fill out the form, and submit it. There is a minimum $1,000 purchase and additional shares must be bought at $250 increments.

PHIL then reviews the applications and awards the shares to whoever they want. Literally, it says they can reject an application for any reason.

They pay, PHIL issues the shares, done deal. Sounds like it's all off the market, no SP impact, and Henry has a list of buyers (i.e. the lenders) that will submit applications and buy up every single last one of those 3.75 billion shares.

This is straight up, top-dog, institutional buying at a private level. Elite. Exclusive. VIP. Boner-inspiring.



Minimum subscription price is .015. And if there are multiple investors, Henry can select the ones that bid the highest.

And for perspective, this is chump-change, people. This is a $75 million total maximum offering. These are the institutes throwing billions of dollars into this, making hundreds of millions of loan interest, AND STILL WANT MORE MONEY IN PHIL STOCK!
