Because they know the financial burden, cost, and effort to complete a merger with only a few weeks of the fiscal year closing. Better to wait and complete the merger at the beginning of the new fiscal
year.

Also, 4th qtr financials (also 2021 Yearly) are due by end of February to keep pink current.
