18. The Stipulation for Settlement of Claims establishes the procedure by which shares of NSH may be exchanged for shares of Defendant NSI on a one-for-one basis and provides a mechanism by which Defendant NSI may satisfy its obligations to the NSH shareholders by providing a value to such shareholders for their non-public shares.

As such, the question is whether those receiving shares in settlement ‘have had a full and fair opportunity to learn everything required to make their decision’ such that they can ‘act in awareness of the risks involved in acceptance . . . and nothing more is required in the determination that th[e] settlement should be approved.

Basically a DONE DEAL!
