I am not so sure of that. The 3A1 can not be a workaround for registration or Rule 144. The Reg A holders under the law are at least affiliates and maybe control shares. Therefore, the common shares do not lose the affiliate status because of the 3A1. Tricky area of law but not as clear cut as you may think.
