A restriction on a stock refers to a restriction on the owner's ability to transfer or sell the stock. Stock may be restricted for a number of reasons; a restricted award grant gives the recipient stock that are restricted until some vesting criteria are met, and the shares are at risk of forfeiture until vest. Unregistered stock will often carry a 144 restrictive legend whereby stock must be registered, or classified as exempt, before they can be sold. Unrestricted shares may be traded or transferred freely, or in line with any governing shareholders' agreement.
