Nothing fancy just a typical "shelf offering". Large block of shares are sold to a tute at a 20% discount. Its fast and cuts like a knife. Usually the tute short sells the block in advance (once deal is inked privately but still not public). Afterwards the price of stock always drops well below the discounted shelf offering price. Companies do it this way because they need large amounts of money fast and because the trickle of funds coming thru the DSPP is just too meager.

Can work out well. Look at TSLA went from $300s to $100's after shelf offering and look at where they are now.

BUT looks like ZNOG stock is not going up anytime soon with major dilution pending (although the MM's will take it up right before the announcement and may have been the reason for recent spike to 28)
