The $4.48 in the S-1A is not an offer price. It's an estimate under SEC regulations that is used solely for determining how much the Company has to pay to register the shares.

If I'm way off base please point me in the wrong direction but the S-1 and S-1A are not offers by the Company to sell shares so that the Company can raise capital. They are registrations of shares already owned by third-parties so that those third parties can sell their shares if they choose to. The S-1/S-1A literally say "We will not receive any of the proceeds from such sales of the Registered Shares."
