Mr. Dunn said there would be frequent updates and there were not.

However, IMHO that does not mean he lied. In order to have lied, he would have had to know at the time of the annual meeting that he had no intention of providing frequent updates. That might have occurred, or he might have sincerely intended to provide updates but something prevented him from doing it.
