On September 27, 2021, Life Electric Vehicles, Inc., a Florida corporation ("Life EV"), completed the purchase of 5,000,000 shares of the common stock of Second Street Capital, Inc. (the "Company") from Kyle Meyer, the Companys President and Chief Executive Officer. The shares acquired from Mr. Meyer represent approximately 70.7% of the Companys outstanding common stock.

Effective September 27, 2021, Mr. Meyer resigned his positions as an officer and director of the Company and Robert Provost, the Chief Executive Officer of Life EV, was appointed as a director, the Chairman, President, Chief Executive Officer, Treasurer and Secretary of the Company.
