Where it is in the process is not actually “material information”. The reason companies go into a quiet period on such matters is not because a statement directly causes harm, but because it opens the door to bad actors to use legally as a tool to make claims that then can be used to get information that is otherwise theirs to keep confidential. It creates opportunities for meaningful mischief.
