We hereby notify you that the special meeting of shareholders of The Metal Arts Company, Inc, a New
York corporation (the “Company”), will be held on Friday, September 20, 2021 at 10:00 a.m. (local time), at 211,
Hakdong-ro, Gangnam-gu, Seoul, South Korea 06052, for the following purposes:
• to amend the Company’s Certificate of Incorporation pursuant to the Restated Certificate of Incorporation
in substantially the form attached hereto as Exhibit A; and
• to transact any other business that may properly come before the meeting or any adjournment thereof.
The Company’s board of directors (the “Board”) has fixed the close of business on September 1, 2021 as the record
date for this special meeting of shareholders. You must be a shareholder of record at that time to be entitled to notice
of the special meeting and to vote at the special meeting.


They can vote on "ANY OTHER BUSINESS" that comes before the meeting, if they want!
