I want to believe it's that clear-cut! But

ENZC also alleges that Savov agreed to additional commitments but breached his promises and as a result is not the owner of the shares. Those commitments as alleged are (verbatim):

i. Transferring to Enzyolytics of 49% ownership interest in IMMB BG, a subsidiary of IMMB;
ii. Transferring all rights belonging to IMMB under a certain Sublicense agreement;

Doesn't this imply that 49% ownership interest in IMMB BG and all rights belonging to IMMB under a certain Sublicense agreement were Savov's to give?

The wording in this summary is opaque, so it's not immediately clear what else it might imply. If that's just pertaining to a merger that fell through, but not ownership of ITV-1 patent rights, it's a nothingburger. But this PR along with saying that IMMB created ITV-1, says ENZC is a 49% shareholder of IMMB and that ENZC was going to produce ITV-1 and combine it with its mAbs technologies. It looks like the lawsuit's saying otherwise.

Disclaimer: I'm not the decorated patent lawyer, Charles C is! :)
