Why would you act as broker/agent? HPIL has a transfer agent. Let buyers purchase on the open market. A buyback is when a company BUYS BACK shares on the open market! At 10:18 in the video you explicitly state "private investors...not through the company" I think the SEC is pretty clear on Rule 10b-18. You may have misspoken, but you're also running afoul of the 'safe harbor' protections intended for an issuer from the charge that it was manipulating the price of its stock if it repurchased its shares.

Your plan is not a buyback; it is a private stock negotiation and as such is open to charges of manipulation if done under the 'guise' of a company buyback program.
