On April 23, 2021, our Board unanimously approved the Certificate of Amendment (“Charter Amendment”) to our Articles of Incorporation to increase the number of
authorized shares of common stock of the Company from 2,500,000,000 shares to 50,000,000,000 shares, and to make a corresponding change in the number of authorized
shares of capital stock. The Board directed that the Certificate of Amendment be submitted to the stockholders for approval at the Annual Meeting. The form of the text of the
proposed Charter Amendment is set forth on Appendix A to this Proxy Statement (subject to any changes required by applicable law).


Mr. Waggoner’s base salary rate for the fiscal year ended April 30, 2021, was $433,333.
