I think they had to do it that way - because as George said they were not going to give the company away for free. If they took fewer shares and saved some for more acquisitions that would end up benefiting the old TSNP shareholders proportionately. Something they obviously didn’t want to do.
Typically these deals involve a much bigger nasty reverse split to get rid of the freeloaders - something George advised them not to do. After all they needed the support to get the app off and running and much more difficult to do by dumping the ones that were so loyal in the beginning.

And I have to wonder if another split is down the road as they will need more funding since the more shares you have the less desirable the funding terms.


Yeah these reverse mergers don’t end up that pretty in the end for retail investors. But hey George said he wanted this one to be a first OTC rm that turns out to be credible and change how people look at the OTC!
