(“Registrant”) was unable without unreasonable effort and expense to prepare its accounting records and schedules in sufficient time to allow its accountants to complete their audit of the Registrant’s financial statements for the year ended December 31, 2020 before the required filing date for the Annual Report on Form 10-K due to the difficulty in accounting for the disposition of an existing subsidiary and due to the completion of reviews of the consolidated financial statements for the three quarters of 2020 now being completed.. The Registrant intends to file the subject Annual Report on Form 10-K on or before the fifteenth calendar day following the prescribed due date.
