The definition of a shelf offering is to have the ability to sell shares over a 3 year period. They don't have to sell all of the shares, or even any of the shares. In other words, there is no timeline. It just gives the company the ability to get cash if they need it.

"A shelf offering is a Securities and Exchange Commission (SEC) provision that allows an equity issuer (such as a corporation) to register a new issue of securities without having to sell the entire issue at once. The issuer can instead sell portions of the issue over a three-year period without re-registering the security or incurring penalties."

SHMP has recently been on a buying spree (they purchased the new 3 new locations in Iowa, they are looking to acquire F&T Water Solutions, they are looking to acquire Hydrenesis Aquaculture, etc), which is a great thing (since all of these purchases are going towards building a juggernaut). So I can see why they would want to have the ability to get cash when they need it (especially if a deal comes out of the blue quickly).

Diluting shares to pay millions of dollars to stuff the pockets of company officers is a bad thing, but diluting to build the company is a very good sign.

In addition, they have Peter Najarian on their Advisory Board. He is a huge name in the financial markets, and I am sure he is guiding them on how to build a legacy.
