Something can be a clear bust objectively but from a strict legal standpoint there is just enough ambiguity they can say they did not know.

Our definition of what is material and what the legal definition of material is are two different things, though obviously the former is probably more realistic as to what investors need to know to adequate assess the performance of company management, decide whether to stay invested etc.
