You are quoting the wrong rule. That is for investment advisors.

Being able to Google something doesn't make a person an expert.

In this case, NBRI was an SEC registrant, but dropped it in order to obscure their fraud.

To be "fully reporting", they must be an SEC registrant. NBRI is not. Therefore, the claims they are "fully reporting" are fraudulent.
