Both AMEX & NASDAQ have several tiers of criteria under which a company can qualify for listing.

Each have criteria for qualifying under $3 per share.

Becoming profitable with an upwards growth curve.

Having enough shareholders.

A good relative market cap and $4M in shareholder equity will do the ticket when the stock is somewhere in the dollar range imo.
