Hopefully this link will shed some light on differences between bankruptcy and private dissolution and its impact as well as potential benefit on stockholders. The reason for dissolution doesnt seem to fit typical reasons as well. In my opinion Lee s reasoning is not to dissolve assets for creditors but to dissolve sawyer's leadership and their plan and use to date of original funds (however the money was actually spent by sawyer and his board) ..whatever that may be. That would free the shell up for Saeans purposes. Obviousley lee wants to keep empm for the simple reasoning that his shares are restricted. Wild card would be if he is using court to try and recover litigation but if things dont go well he announced super majority in share ownership to force sawyer's group out.
