If mere stupidity/incompetence they would at least fire Kennedy for losing the case. If they are a criminal conspiracy they could not do that.

That this is a Hudsucker Proxy plan to take it private (salvaging the US market with an AG deal that they should do NOW rather than later) fits the facts the best.
