You don't raise the AS without an expectation of dilution. That's exactly the reason to raise the AS so shares can be distributed, sold, etc.

They don't have a FDA approved medical device, and they're not selling a significant amount of their [research only] product at this time.

Combine all of those concerns with their ongoing NASDAQ compliance issues due to the PPS makes this very risky IMO.

...and do so without any substantial dilution...
