I don't think the takeover company is going to wipe out the shareholders. I believe someone affiliated with them acquired all the available 1s before the news came out. There was some big loading happening before the PR.
They want to make some $$.

The company also prides themselves with their reputation. There is nothing better than being able to say you had successfully taken a company(ies) through bankruptcy while protecting shareholder interest.
