1. They say they will minimize the impact to current shareholders...well that could be wishful thinking on their part or just trying to keep the shares trading with decent volume so they have a market to dump new shares into.
2. They have plenty to gain by wiping out commons shareholders. They bought the preferred shares. If they wipe out current shares they can issue new shares and raise much needed capital.
