KWBT currently shows about 515 millions O/S, out of 3 billion A/S.
There is plenty opportunity and 'room' to issue-shares to insiders, or whomever the company agrees will be taking the company 'private' such that they have all the shares they need.
They 'could' dilute into oblivion, they could create accounting-issues or simply under-report sales etc to drive PPS as low as they wanted to.
THAT WOULD BE DEEMED 'FMV', and would stand-up to litigation as this is not uncommon.
Again, PRIVATE BUYOUT is tossed around on various pennyboards as if it's a saving-grace for shareholders.
Historically, that's NOT THE CASE.
Anyway, HYPOTHETICALS take over a board when a company refuses to present timely filings or otherwise communicate with shareholders.
Rarely does it turn out well for common-shareholders, but maybe KWBT is different.
