It matters to the TESLA company because they will have to transfer 4 shares for each 1 share held...They therefore have to put a timeline for themselves, thus the record date. Any transaction afterwards is peer-to-peer, shareholder to shareholder.

So all shareholders by end of today will receive their additional shares from the TESLA company....another person wanting in on Monday and before 31 Aug will have to buy the shares from a current holder.
