The rights to billions of shares, via convertible loans, is what gives KW a majority interest in BIEL.
If the convertible loans are changed to standard loans KW is no longer the majority shareholder.
Any alliance of shareholders that can put together 13 billion shares could probably control BIEL.
This is why the campaign for KW to give up 28 billion shares worth of convertible debt was also DOA.
