The announcement was made on 8/08/2006. The IPMG internal company merger was finalized and completed on 9/28/2006. The company was moved from Delaware and ammendments completed on 11/29/2006. The linked document refers.

We have no idea of the financial arrangements of the JV.

We have no idea of the legal impact of the JV or any prerequisite activity that had to transpire before the JV could be finalized.

It would be nice to know all that, but it is a competitive bull market isn't it?
