Holders of certain warrants have exercised their rights thereunder to purchase 9,361,421 shares of the common stock of Northwest Biotherapeutics, Inc. (the “Company”), par value $0.001 (“Common Stock”). The exercise prices ranged from $0.24 to $0.27 per share, for gross proceeds to the Company of $2,304,360.



The warrant exercises took place on an ongoing basis during the period from May 26, 2020 through June 11, 2020. Pursuant to this prospectus supplement and the accompanying prospectus, the Company is registering the offered shares that were purchased by these warrant holders.
