Dan Eliot May 2018

I really have no idea. Steve Aust asked me to join the company. I was intrigued by the concept. I met Graham on a trip to China. He flew back with us on a private Gulfstream jet. I arranged $130 million in financing for the company. Days before closing Graham caused some issues and the deal fell through. Then Graham and Steve and I all had a major argument. I left the company. I was only there for about 6 months. I was not there when LTC deal happened. Nor Coslight. I was already gone. I never read anything about the business. I really never looked back. Once Graham blew the finance deal I arranged, there was nothing left for me. I have heard rumors about various things. Including ludicrous accusations of me. Just never looked back.

Thereafter, I returned to my private practice, where I continued to provide general legal services to a number of clients, until approximately March of 2017, when I was approached by Daniel Elliott, the Chief Executive Officer of EnerBlu, Inc., a lithium-based battery manufacturer located in southern California, who was intended to relocate (and ultimately did relocate) to Lexington, Kentucky, to assist with a private placement securities offering. As had happened in the past with VRDT, one assignment led to another, to another, and another, until I again found myself spending most of my time working for this particular client at the expense of my other engagements. The company and I agreed that, upon the first tranche of significant funding, I would engage as in-house general counsel, but I would serve as outside counsel until that time. The company received significant funding in December of 2017, at which point I engaged as in-house General Counsel. As with VRDT, my duties at EnerBlu were expansive and broad. I was intimately involved in all aspects of the company’s business operations, governance, senior management discussions, securities offerings, litigation, intellectual property development, human resources, and corporate development. During the move to Kentucky, I was fortunate to spend significant time with Governor Matt Bevin and his Cabinet for Economic Development, initially led by Terry Gill and succeeded by Vivek Saren. This role involved significant political activity and I also became close with the General Counsel for the Kentucky House Republican Party leadership. In early 2018, I lost belief and confidence in the company’s ability to execute its business plan; I thereafter resigned in February of 2018 and returned to my private practice where I have remained until I decided to run for election as Judge of the 457th District Court. I have since largely suspended my practice to dedicate and commit myself to this election.
