question for anyone familiars with tax law.

If NWBO eventually does a deal with some BP for a buy out that is part cash and part stock in the BP, would the BP shares acquired in the buy out acquire the cost basis of the shares in NWBO, or would the deal be seen as a sale and trigger a capital gain for ALL of the proceeds from the sale and not just the cash portion. How does this work tax wise?
